Digicel Limited, today announced it has priced the placement of US$250 million of 12% senior notes due 2014. Digicel Limited is a Bermuda incorporated company owned by Mr. Denis O'Brien.
The placement was priced at 99.5% and comprises $160 million primary issuance and a further $90 million secondary offering of existing 12% senior notes due 2014 currently held by Mr. Denis O'Brien.
The use of proceeds of this offering will be for general corporate purposes, including debt service and acquisitions, and allows the company to increase its overall liquidity position.
The transaction is due to close on July 7, 2009.
The notes have not been, and will not be, registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
